Our M&A practice provides support in all phases of merger and acquisition transactions from buy-side and sell-side to counseling independent boards on going private transactions or other transactions involving interested directors. The Firm's involvement ordinarily begins with negotiation of the letter of intent or other transactions involving interested directors. We then lead the due diligence investigation, negotiate definitive agreements and any necessary financing instruments. We also help boards of directors analyze and review fairness opinions. Our goal is to assure that the board has conducted a process that both results in a fair transaction and will afford its members the protection of the Business Judgment Rule. We also have been called upon to run shareholder meetings to approve transactions. Finally, we conduct the closings. We have been involved in all manner of transactions, specifically including private-private, public-public and public-private.
