Representation of Gaming Entities and "Racinos"

The Firm has a particular specialty in the gaming and racing industries where we represent operators, applicants, lenders and vendors in all phases of the casino and "Racino" industries, including licensing, compliance, development and construction, and acquisition and disposition of gaming and racing properties. We have represented clients in the gaming and racing sectors in Pennsylvania, West Virginia, Nevada, Minnesota, Michigan, and Ohio. We provide a full range of services for our gaming and racino clients: tax planning, finance (both public and private, both debt and equity), mergers and acquisitions, real estate development (including construction), technology, internal audits for regulatory compliance, labor and employment, and all manner of securities and regulatory reporting, disclosure and compliance.

The Firm's lawyers have represented gaming and racing companies since 1992. We have represented lenders in new development projects and operators with respect to both applications to build new gaming and/or racing facilities and the purchase and sale of existing gaming properties, including due diligence investigations. We have worked with and/or appeared before gaming and racing regulators in six states. We take the lead role in facilitating suitability investigations conducted by state gaming and racing regulators. We make sure that the investigators have at their disposal all requested documents, personnel and resources during site visits. Whenever possible, we make a concise preliminary presentation aimed at portraying the client in the best possible light, revealing and dealing with any likely areas of concern so that investigators hear it from the client first, and quickly familiarizing the investigators with the client, its management team and operations -- all in an effort to streamline the licensing and approval process. In states that subject vendors of goods and services to gaming licensing, we have represented vendors in the licensing process. And, we likewise advise compliance committees on suitability issues as well as on the legal and practical implementation of their compliance plans.
