Commercial Real Estate; Real Estate Finance

While our commercial real estate practice focuses on both privately held developers and public companies whose growth involves real estate development, we also provide counsel to lenders making real estate based loans or loans to gaming and entertainment companies that have real estate as a component of the collateral package. We advise and represent these clients in raising capital (in increasingly diverse ways), making acquisitions (and strategic planning) and asset management.

The commercial real estate practice encompasses all phases of real estate development from raw land acquisition, parcel assemblage and the purchase of non-performing paper, to entity formation, private placements, asset leases, financing, multi-jurisdiction mergers and acquisitions, land development, construction oversight, sales, leasing and like-kind exchange transactions. Our Firm's lawyers are experienced in all phases of construction, property conversions and the development and operation of hotels, condominiums, mixed-use developments and commercial office space. We design and supervise the construction process -- from preparation and evaluation of bid materials, to negotiations with governmental agencies for project enhancement to project labor agreements, to management of the job site and change order process. Because the Firm's corporate clients are frequently commercial tenants or landlords, we handle leasing issues on both sides of the table. We also have represented asset and note purchasers as well as secured note holders and landlords in U.S. Bankruptcy Court to enforce creditors' rights.
